What’s the story?
Schneider Electric has agreed to buy PTC, the industrial engineering software company behind the Vuforia augmented reality products, in an all-cash deal valued at about $22.6 billion.
Why it matters
Schneider Electric says PTC’s engineering data is the trusted context its AI agents need. Under the deal, PTC’s Vuforia AR tools would sit alongside Schneider Electric’s existing foundation of process and energy data.
The bigger picture
Schneider Electric frames the deal as industrial AI moving from digital applications into physical products, machines and energy systems, which is precisely where industrial AR lives, putting digital data onto the equipment in front of a worker.
October 6, 2026 – PTC, a provider of industrial product design, engineering, data management and augmented reality (AR) software, has this week announced a definitive agreement to be acquired by Schneider Electric, a global energy technology company, in an all-cash transaction valuing PTC’s equity at approximately USD $22.6 billion (EUR €20.1 billion).
According to Schneider Electric, the transaction closes a portfolio gap in product lifecycle and industrial software and extends its asset lifecycle platform upstream into product design and engineering. The company stated that, by connecting engineering intent with real-world operational context, the combination provides the trusted context which AI agents need.
PTC serves more than 30,000 customers globally with software spanning computer-aided design (CAD), product lifecycle management, application lifecycle management and service lifecycle management. The company generated €2.4 billion in revenue in calendar year 2025, according to the announcement.
Part of PTC’s software offering includes its suite of augmented reality products under the Vuforia name that includes:
- Vuforia Chalk: provides remote assistance with on-screen markup that stays where experts intend it;
- Vuforia Engine: used to develop cross-platform AR apps that attach digital content to physical objects and environments;
- Vuforia Expert Capture and Vuforia Work Instructions: used to create and publish step-by-step AR work instructions for frontline workers; and
- Vuforia Studio: transforms existing CAD and Internet of Things (IoT) data into in-context, 3D AR work instructions without programming expertise.
“PTC provides the software the world’s leading manufacturers and product companies rely on to design, build, and maintain great products and unlock more value from their product data in an increasingly AIdriven world,” said Neil Barua, President and CEO of PTC. “Joining Schneider Electric is an incredible opportunity to elevate the scope and impact of what we deliver for our customers globally. We gain substantial scale and resources to accelerate innovation, advance our Intelligent Product Lifecycle vision, and expand our business into more geographies and end markets to serve more customers.”
Barua added, “This all-cash transaction is the culmination of the PTC Board’s commitment to maximize shareholder value. It delivers certain and compelling value to our shareholders and reflects the strength of PTC’s business, our strategy, and our outstanding team. I am deeply grateful to our talented and dedicated employees around the world for everything they have done to make PTC what it is today. We look forward to building on this strong foundation and beginning an exciting new chapter with Schneider Electric.”
According to the announcement, PTC shareholders will receive $205 per share in cash, representing a 42.3% premium to PTC’s last closing price. The companies stated that the transaction has been unanimously approved by both boards and that closing is anticipated by the third quarter of 2027, subject to PTC shareholder and regulatory approvals.
